Job DescriptionThe global legal team provides advisory and transactional support across the offices in London, Shanghai, Singapore and New York. The team’s transactional lawyers provide specialist legal advice to all of the Bank’s business divisions, in particular the Global Markets trading floor, in relation to a unique range of commodity and financial products and structures. This London based role provides an opportunity to join a welcoming team with a strong track record for delivering solutions within a supportive working environment. Job PurposeWe are looking for a junior lawyer to work on a wide range of transactions and projects arising primarily from the Bank’s commodities businesses, including precious metals, base metals and energy.As a member of the commodities legal team, the successful candidate will work alongside a group of experienced and respected lawyers that offer comprehensive support to a diverse range of stakeholders.The team’s primary focus is advisory and transactional support within the international commodities markets, but its members are also active in supporting other areas including loans and other financial products and services.As a predominantly commodities focused role, the candidate should have previous experience working on physical commodities transactions although experience in other relevant fields will be considered.The role offers an opportunity to develop transactional skills and in-house legal capabilities through exposure to an interesting and dynamic range of work. Key Responsibilities Draft, review and negotiate a broad range of commodity agreements and related documentation including sale and purchase agreements, commodity financing documentation, trade confirmations incorporating industry standard terms & conditions, commodity storage and warehousing agreements, commodity leases, precious metal account agreements and ancillary documentation as required.Provide legal advice on commodity transactions and aspects of contract performance and non-performance when they arise.Review documentation and advise on a variety of non-commodity legal documentation and related legal issues as and when required.Undertake legal analysis to identify risks and help front office to navigate them within the Bank’s regulatory framework.Work closely with the legal team, front office and other departments to deliver business objectives.Maintain an awareness of evolving legal developments and contribute to the development and implementation of team initiatives.Provide clear instructions to, and work effectively with, external legal counsel when the need arises.
