The Listing Transactions (LT) Department sits within the Market Oversight Directorate at the Financial Conduct Authority. The department has a key role in the regulation of capital markets activity in the UK. As well as reviewing and approving prospectuses and shareholder circular for a wide range of primary capital market transactions, we are the gatekeeper for admissions to the UK’s Official List.The Listing Transactions Department:reviews and approves shareholder circulars and prospectuses outlining transactions by listed companies and other companies subject to the FCA Listing Rules and FCA Prospectus Rules. maintains the UK’s Official List, the definitive register of listed securities in the UK.provides listed companies with individual guidance on the correct application of the Listing Rules.At its heart is its transaction review function, a group of four teams working as one large unit on a fast-moving body of case work using matrix management principles.  Review cases are assigned by a central triage and allocation function to ad hoc case teams.  Each case is overseen by a transaction manager to who the case teams report as the transaction progresses.The whole function is focused on providing a high-quality responsive service to market participants who submit cases to us for review.  We review the materials submitted for review in adherence with published turnaround times so market participants can plan corporate transactions with confidence and corporate transactions can proceed smoothly.What does this job involve?You will manage one of the four teams with the LT Department’s transaction review function.  In this capacity you will be the line manager of a group of five to seven ambitious, capable associates, senior associates and lead associates.  Working with peers in the management team, you will oversee your team members’ development and performance, leading and motivating the individuals who report to you.You will also act as a Transaction Manager (TM) overseeing case teams doing review and guidance cases assigned to them by the central triage and allocation function.  The role requires you to act as the point of escalation and support, overseeing a portfolio of transactions as they progress, and being involved in key decisions on the way.The role requires liaison with both internal and external stakeholders, particularly lawyers and investment bankers advising issuers on the transactions under review.You will attend LT department management meetings and play an active role in the department leadership team.  You will sit on the department decision making panels.  You will participate in the department’s QA programme.The LT Department’s corporate finance and transaction expertise is frequently tapped by other areas of the FCA where subject matter expertise is required.  You will provide such support on behalf  of the department where our primary capital markets expertise is needed.The department is committed to continuous improvement.  Alongside your peers in the management team, you will be responsible for identifying areas where we need to improve and make changes, and implementing that change. What will the candidate get from the role?Already experienced in the review of corporate transactions, you will now lead the review teams examining these transactions, many of which will be high profiles deals you read about in the business pages.You will influence the department’s decision making and shape its working practicesYou will recruit, retain, develop and lead the next generation of transaction review associates.You will join the LT management meetings and participate in decision making panelsYou will broaden your contacts and raise your profile within the area  You will improve your analytical and problem solving skills.  Representing the department in more senior forums, you will sharpen your presentation skills.Skills/Experience Required  We’re a signatory to the Government’s Disability Confident scheme.
